Management Général/Stratégie
The Veolia case retraces 170 years of strategic transformation, from the creation of the Compagnie Générale des Eaux in 1853 to today's Veolia, self-described as the "global champion of ecological transformation." Structured around five strategic phases - early water utility, diversification under Dejouany, conglomerate peak under Messier (Vivendi), post-2002 refocusing, and the current pure-player phase under Frérot and Brachlianoff - the case is designed as a longitudinal illustration of how corporate strategy choices interact with sustainability ambitions over very long time horizons.
The pedagogical proposition is that Veolia is uniquely instructive for showing how a company can move from "sustainability as an implicit by-product" to "sustainability as an explicit strategic compass." Each phase activates classical corporate-strategy frameworks (Rumelt, Porter, Markides), while the overall arc raises contemporary debates on purpose-driven strategy (Henderson, Mayer), shared value (Porter & Kramer), and sustainable business models.
The case combines a substantial empirical record (revenue, net debt, divestments, leadership transitions, Suez acquisition) with a forward-looking dilemma: in 2026, CEO Estelle Brachlianoff must decide how to keep "ecological transformation" as a durable strategic identity rather than a narrative overlay. Three concrete tensions - portfolio extension vs. discipline, geographic expansion vs. local legitimacy, impact metrics vs. financial metrics - set up classroom discussion.
The case has been successfully animated with two distinct audiences (M1 STEEM at École Polytechnique and Executive Education at École Polytechnique). It is designed to remain strategically relevant through at least 2028-2029, requiring only light annual refreshes.
- Differentiate related and unrelated diversification (Rumelt) and apply the categorization to Veolia's portfolio history.
- Apply Porter's three tests for diversification to specific strategic moves.
- Articulate the difference between sustainability as outcome and sustainability as strategic compass.
- Describe governance and performance-measurement implications of raison d'être and multifaceted performance.
- Decompose a 170-year trajectory into strategic phases, identifying dominant logic and triggers.
- Evaluate the role of financial leverage in enabling and constraining strategy.
- Take a defensible position on the strategic coherence of the Suez acquisition.
- Recommend a strategic agenda for Veolia in 2026, articulating trade-offs.
