Résumé
Separation of roles of both chairman and CEO is at the forefront of corporate governance arrangements. The case aims at examining how these arrangements may lead to fierce strivings for power and influence within a real organizational context of a French listed leading construction and concession company. The case shows how separation can create a situation of tensions risking board efficiency decline.
